These Terms and Conditions govern your access to and use of the services websites and products provided by Dazzle Tech LLC. By accessing or using our services you agree to these Terms.

Definitions

• Services means our websites apps products and professional services including web development eCommerce solutions branding and UI UX design SEO and digital marketing mobile app development software development website maintenance and security business consultation and IT strategy domain hosting and deployment
• Client means any person or entity that purchases orders or uses our Services
• Content means any text graphics images files code data or materials uploaded submitted or made available through the Services

Eligibility and Accounts

You must be at least the age of majority in your jurisdiction to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us promptly of any unauthorized access or use.

Orders Proposals and Statements of Work

Project scope pricing timelines deliverables acceptance criteria and assumptions may be defined in a proposal quote invoice or statement of work. In case of conflict the most recent signed or accepted document will control for that project. Change requests may affect fees and timelines.

Fees Billing and Payments

You agree to pay all fees specified in the applicable order invoice or statement of work. Unless otherwise stated fees are due in United States Dollars. Late payments may incur suspension of Services and reasonable collection costs. Taxes duties and similar charges are your responsibility unless we are legally required to collect them. Payment processing is handled by third party processors subject to their terms.

Client Responsibilities

Provide timely feedback access information assets and approvals needed to deliver the Services. You represent that you have all rights to provide any materials you supply and that they do not infringe any third party rights or laws.

Intellectual Property

We retain all rights in our pre existing materials tools code know how and methodologies. Upon full and final payment and unless otherwise agreed we grant you a non exclusive worldwide license to use project deliverables for your business purposes. Open source components third party assets and stock resources remain subject to their respective licenses.

User Content and License

By submitting Content you grant Dazzle Tech a non exclusive worldwide royalty free license to use reproduce modify and display the Content as necessary to provide the Services. You are responsible for your Content and you represent that it does not violate any rights or laws.

Acceptable Use

You agree not to misuse the Services. Prohibited activities include

• Reverse engineering interfering with or disrupting the Services
• Uploading malicious code
• Infringing others rights or engaging in unlawful deceptive or abusive conduct
• Circumventing security or usage limits

Confidentiality

Each party may receive confidential information from the other. The receiving party will use it only to perform under these Terms and will protect it using reasonable care. Confidentiality obligations do not apply to information that is public known without breach independently developed or obtained from a third party without duty of confidentiality. If required by law we may disclose confidential information after providing notice when lawful and practical.

Publicity

We may reference your name and logo as a client in our marketing materials and portfolio unless you opt out in writing.

Third Party Services

The Services may rely on third party services such as hosting email delivery analytics and payment processing. We are not responsible for third party services and they may be subject to their own terms and privacy policies.

Warranty Disclaimer

The Services and deliverables are provided as is and as available. To the fullest extent permitted by law we disclaim all warranties including implied warranties of merchantability fitness for a particular purpose and non infringement. We do not guarantee uninterrupted or error free operation.

Limitation of Liability

To the fullest extent permitted by law our total liability for any claim arising out of or relating to the Services will not exceed the amounts you paid to us for the Services giving rise to the claim in the twelve months before the event. We are not liable for indirect incidental special consequential exemplary or punitive damages or for lost profits revenues data or goodwill.

Indemnification

You will defend indemnify and hold harmless Dazzle Tech and our directors officers employees and agents from and against claims damages losses liabilities costs and expenses arising out of or related to your Content your use of the Services and your breach of these Terms.

Termination

Either party may terminate a project or account according to the applicable order or statement of work or if the other party materially breaches these Terms and fails to cure within 10 days after written notice. Upon termination you will pay for Services performed and expenses incurred through the termination effective date. Sections that by their nature should survive will survive termination.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas without regard to conflict of law rules. The parties will attempt to resolve disputes in good faith. If not resolved either party may bring an individual action in the courts located in Harris County Texas or submit the dispute to binding arbitration under the rules of the American Arbitration Association. Each party waives class actions and agrees to resolve disputes on an individual basis. Small claims actions may be brought in a court of competent jurisdiction.

Changes to the Terms

We may update these Terms from time to time. The updated version will be posted with a new Effective Date. Continued use of the Services after changes means you accept the updated Terms.

Force Majeure

We are not responsible for any delay or failure caused by events outside our reasonable control including acts of God power or internet failures labor disputes government actions or other events of similar nature.

We may send notices to the email address associated with your account or post them on our website. You may send legal notices to support@dazzletech.co and to our mailing address in Texas United States.

Entire Agreement

These Terms together with any applicable order proposal invoice or statement of work constitute the entire agreement between you and Dazzle Tech regarding the Services and supersede all prior or contemporaneous understandings.
